Informative Graphics Corporation (“IGC”) was a leading provider of enterprise software for the secure viewing, collaboration and redaction of a broad array of content across enterprise content stores. IGC’s product superiority was evident in that it was the go to enterprise solution for leading ECM and eDiscovery vendors including OpenText, IBM, EMC/Documentum, Lexis/Nexis and Symantec/Clearwell.
IGC was in the catbird’s seat by being instrumental to very large contract wins by each of their large distribution partners. For these partners, owning IGC would allow them strategic leverage over key competitors and enable them to shape IGC’s product to favor the buyer’s content store. Yet marketing this opportunity was delicate so as to not disrupt relations with these essential partners.
Stratagem and IGC were able to navigate this delicate bridge to a superb exit for IGC and its team, while providing OpenText a valuable new competitive tool. In the negotiations, Stratagem notably increased deal value and led several key legal negotiation topics to favor IGC.
